By accessing or using the Sailup platform, APIs, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Services.

2. Description of Services

Sailup provides communication infrastructure including SMS, email, and messaging APIs that enable businesses to send and manage communications programmatically. The Services include access to our dashboard, APIs, documentation, and related tools.

3. Account Registration

To use the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Maintain the security and confidentiality of your API keys and login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree not to use the Services to:

• Send unsolicited messages, spam, or any content that violates applicable anti-spam laws
• Transmit any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to the Services or related systems
• Use the Services in violation of any applicable local, national, or international law or regulation

5. Messaging Compliance

You are solely responsible for ensuring that your use of the Services complies with all applicable telecommunications regulations, including but not limited to obtaining proper consent from recipients before sending messages. You must comply with all applicable laws regarding commercial messages, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any equivalent local regulations.

6. Pricing and Payment

You agree to pay all fees associated with your use of the Services in accordance with the pricing plan you select. Fees are non-refundable except as required by law. We reserve the right to modify our pricing with reasonable notice. Continued use of the Services after a pricing change constitutes acceptance of the new pricing.

7. Intellectual Property

The Services, including all content, features, and functionality, are owned by Sailup Inc. and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of the content you transmit through the Services, but grant us a limited license to process and deliver that content as necessary to provide the Services.

8. Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime in advance.

9. Limitation of Liability

To the maximum extent permitted by law, Sailup Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Services.

10. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website with a revised "Last updated" date. Continued use of the Services after changes are posted constitutes acceptance of the modified Terms.
